Terms of Service

These Terms govern your access to and use of BaaiCore’s marketplace for home services.

1. Introduction and Acceptance

About BaaiCore

BaaiCore operates an online marketplace that helps connect customers seeking home services with independent service professionals ("Pros"). Unless expressly stated otherwise, BaaiCore does not provide home services directly and does not employ Pros. Pros are independent third parties responsible for the services they offer and perform.

Binding Agreement

By accessing or using the BaaiCore Services (including our website and mobile application), creating an account, or otherwise indicating acceptance, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Services.

Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Services. You are responsible for ensuring your use is lawful in your jurisdiction.

Not Legal Advice

These Terms are general terms for the use of the Services and do not constitute legal advice. If you need advice about your specific circumstances, consult a qualified professional.

2. Accounts and User Responsibilities

Account Registration

To use certain features, you must register for an account and provide accurate and up-to-date information. You are responsible for maintaining the confidentiality of your credentials and for activities that occur under your account.

Account Types

BaaiCore offers different account types: (a) Customer accounts for those seeking services, and (b) Professional accounts for those offering services. Different terms may apply depending on your account type. Switching between account types may require additional verification.

Account Security

You must notify BaaiCore immediately of any breach of security or unauthorized use of your account. BaaiCore cannot and will not be liable for any losses or damages arising from your failure to maintain account security. We recommend using strong passwords and enabling two-factor authentication when available.

Identity Verification

We may use verification processes to help maintain trust and safety, including identity verification for certain users or features. We may suspend or terminate accounts that fail verification, provide inaccurate information, or are suspected of fraudulent or harmful activity.

3. Professional Requirements and Obligations

Professional Qualifications

Pros are responsible for obtaining and maintaining any licenses, permits, registrations, certifications, and insurance required to perform services legally and safely. Pros must provide accurate information about qualifications and may be required to provide documentation for verification.

Background Checks

Where permitted by law and where offered, Pros may be asked to complete background checks or other screening measures. Screening results do not guarantee safety or performance and are not a warranty or endorsement.

Service Descriptions

Professionals must provide accurate, clear, and detailed descriptions of their services, including pricing structures, response times, and coverage areas. Misrepresentation of capabilities, qualifications, or availability is strictly prohibited and may result in account termination.

Insurance Requirements

Pros should maintain insurance appropriate to their services (for example, general liability insurance and, where applicable, workers’ compensation coverage). Requirements vary by service category and jurisdiction. You are responsible for confirming insurance requirements applicable to your business.

4. Service Bookings and Contracts

Service Requests

Customers may submit requests for services through the BaaiCore platform. These requests should include accurate details about the service needed, location, preferred timing, and any special requirements. BaaiCore does not guarantee that every request will receive responses or that services will be performed within requested timeframes.

Service Agreements

When a customer accepts a quote or proposal, the customer and Pro enter into an agreement directly with each other. BaaiCore is not a party to that agreement, except as it relates to the Services (such as payment processing and platform rules).

Customer Responsibilities

Customers agree to provide accurate information about service needs, ensure safe access to service locations, be present or available as required for service delivery, and promptly communicate any issues or changes in requirements. Customers are responsible for reviewing professional credentials and service details before booking.

Service Modifications

Any modifications to the original service agreement must be documented through the BaaiCore platform to ensure proper tracking, payment adjustments, and platform protection. Off-platform modifications are not protected by BaaiCore's guarantee programs or dispute resolution processes.

Consumer Rights

If you are a consumer, you may have rights under applicable Canadian provincial consumer protection laws (including in Alberta). These Terms are intended to be interpreted in a manner consistent with mandatory consumer protection requirements.

5. Payments and Billing

Payment Processing

Payments for bookings may be processed through the Services using third-party payment processors. By using the payment features, you agree to the applicable payment processor terms. Off-platform payments may limit or eliminate platform protections and may violate platform rules.

Service Fees

BaaiCore charges service fees for platform use, which may be assessed to customers, professionals, or both. Fee structures are disclosed before service booking and may vary based on service category, location, payment method, or account type. BaaiCore reserves the right to modify fee structures with notice to users.

Payment Holds and Escrow

BaaiCore may hold customer payments in escrow until service completion is confirmed. For multi-phase projects, funds may be released in installments according to predefined milestones. Funds may be held longer in cases of disputes, suspected fraud, or compliance reviews.

Taxes

Pros are responsible for determining and meeting tax obligations related to their services (for example, GST/HST where applicable). Customers are responsible for paying applicable taxes as disclosed. BaaiCore may provide tools or summaries for convenience but does not provide tax advice.

Pricing Transparency

Professionals must clearly disclose all fees, surcharges, and potential additional costs in their quotes or during the booking process. Hidden fees or unexpected charges are prohibited. Customers have the right to receive itemized invoices upon request.

6. Cancellations, Refunds, and Disputes

Cancellation Policies

Cancellation policies vary by service category and are disclosed before booking confirmation. Both customers and professionals must adhere to these policies. Repeated cancellations by either party may result in account penalties or suspension. Force majeure events may qualify for policy exceptions.

Refund Eligibility

Refund eligibility depends on cancellation timing, service category, and specific circumstances. Full refunds are typically issued for professional no-shows, substantially inadequate service, or misrepresented qualifications. Partial refunds may apply for incomplete services, customer-initiated cancellations, or when services differ substantially from descriptions.

Dispute Resolution Process

We may provide tools and support to help users resolve disputes (for example, messaging and customer support). Any dispute between a customer and a Pro is primarily between those parties, subject to platform rules and any payment or dispute processes applicable to a transaction.

Service Guarantee

If BaaiCore offers a guarantee or protection program for certain bookings, the eligibility criteria and claim process will be described separately. Any such program is limited in scope and subject to exclusions.

7. Ratings and Reviews

Review System

BaaiCore provides a rating and review system for customers and professionals to evaluate each other after service completion. Reviews must be honest, relevant, and based on firsthand experience. Reviews containing false information, harassment, or promotional content are prohibited and may be removed.

Review Ownership

By submitting reviews, you grant BaaiCore a perpetual, irrevocable, worldwide license to use, modify, publish, and display the content in connection with our services. BaaiCore reserves the right to feature reviews in marketing materials or algorithmic sorting without additional compensation to the author.

Review Moderation

BaaiCore moderates reviews according to our content policies. We may remove or reject reviews that violate these Terms, contain prohibited content, or are flagged as inappropriate. While we strive to maintain review integrity, we cannot guarantee that all displayed reviews comply with our policies at all times.

Response to Reviews

Users may respond to reviews about them. Responses are subject to the same content guidelines as reviews. Threatening or retaliatory behavior related to reviews is prohibited and may result in account suspension.

8. Prohibited Activities and Content

Platform Integrity

Users must not engage in activities that compromise platform integrity, including but not limited to: creating multiple accounts, manipulating reviews or ratings, providing false information, circumventing fee structures, or attempting to reverse-engineer our systems.

Off-Platform Transactions

Directing BaaiCore users to complete transactions outside the platform is strictly prohibited. This includes soliciting direct payments, suggesting alternative communication channels to avoid platform fees, or attempting to circumvent BaaiCore's payment system. Violations may result in immediate account termination.

Prohibited Content

Users must not post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or objectionable with respect to race, ethnicity, gender, religion, disability, age, or sexual orientation. Content depicting illegal services or activities is strictly prohibited.

Prohibited Services

BaaiCore prohibits services that are illegal, promote illegal activities, violate third-party rights, or pose unreasonable risks. This includes services requiring specialized licensing not held by the professional, services involving controlled substances, services targeting minors inappropriately, or services that violate local regulations.

9. Intellectual Property

Platform Content

All content on the BaaiCore platform, including logos, design, text, graphics, software, and other files, is the property of BaaiCore or its licensors and is protected by copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, modification, distribution, or display of this content is prohibited.

User Content License

When you post content on BaaiCore (including profiles, service descriptions, messages, and reviews), you grant BaaiCore a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, translate, and distribute such content in connection with providing and promoting our services.

Copyright Complaints

BaaiCore respects intellectual property rights and complies with the Canadian Copyright Act. If you believe your work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the required information as specified in our Copyright Policy, available on our website.

Trademarks

BaaiCore name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BaaiCore or its affiliates. You may not use these marks without prior written permission. All other names, brands, and marks are used for identification purposes only and may be trademarks of their respective owners.

10. Privacy and Data

Privacy Policy

Your use of BaaiCore is subject to our Privacy Policy, which governs the collection, use, and disclosure of personal information. By using our services, you consent to our privacy practices as outlined in the Privacy Policy, which is incorporated into these Terms by reference.

Data Security

BaaiCore implements reasonable security measures to protect user data, but no system is completely secure. You acknowledge that transmitting information online carries inherent risks, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

Communication Records

All communications sent through the BaaiCore platform may be monitored, recorded, and retained for quality assurance, dispute resolution, and compliance purposes. You consent to such monitoring and recording by using our messaging systems.

Location Data

BaaiCore collects and processes location data to connect customers with nearby service providers. By using our services, you consent to the collection and processing of location information as described in our Privacy Policy. You may withdraw consent by adjusting device settings, but this may limit platform functionality.

11. Disclaimers and Limitations of Liability

Service Disclaimer

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Professional Services Disclaimer

BaaiCore is a marketplace. Pros are independent third parties. BaaiCore does not guarantee the quality, timing, legality, or suitability of services performed by Pros.

Limitation of Liability

To the maximum extent permitted by law, BaaiCore will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, arising out of or related to the Services.

Liability Cap

To the maximum extent permitted by law, BaaiCore’s total liability for claims related to the Services will not exceed the greater of (a) the amount of fees paid by you to BaaiCore in the 12 months before the event giving rise to the claim, or (b) CAD $500.

Risk Assumption

You acknowledge that engaging service providers to perform work in or around a home involves risks, including property damage, personal injury, and unsatisfactory work. You agree to take reasonable precautions and to use the safety tools and guidance provided.

12. Indemnification

User Indemnification

You agree to indemnify, defend, and hold harmless BaaiCore and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claims arising from your interactions with other users.

Professional Indemnification

Service professionals additionally agree to indemnify BaaiCore against claims arising from: (a) professional services provided; (b) failure to maintain appropriate licensing or insurance; (c) negligence or misconduct; (d) misrepresentation of qualifications or service capabilities; or (e) violations of applicable laws or regulations while providing services.

13. Dispute Resolution and Governing Law

Informal Resolution

Before initiating any legal action, users agree to attempt informal resolution by contacting BaaiCore's support team. Most issues can be resolved efficiently through our customer service channels.

Arbitration Agreement

To the extent permitted by applicable law, and except where prohibited (including where mandatory consumer protections apply), disputes relating to these Terms or the Services may be resolved through binding arbitration administered by a recognized Canadian arbitration body under applicable rules. The arbitration location and process will be determined in accordance with the applicable rules and law.

Class Action Waiver

To the extent permitted by applicable law, you and BaaiCore agree to bring claims in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles, subject to any mandatory rights you may have in your jurisdiction.

14. Termination and Account Suspension

Termination by User

You may terminate your account at any time by following the instructions in your account settings or by contacting customer support. Termination may not be immediate and may be subject to completion of pending transactions, payment of outstanding fees, or resolution of disputes.

Termination by BaaiCore

BaaiCore reserves the right to suspend or terminate your account at any time for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, harm to other users, legal requirements, or extended inactivity. We will make reasonable efforts to notify you of termination unless prohibited by law or where doing so would compromise platform security.

Effect of Termination

Upon termination, your right to use the platform ceases immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Pending transactions may be completed or cancelled at BaaiCore's discretion.

15. Modifications to Terms and Services

Changes to Terms

BaaiCore reserves the right to modify these Terms at any time. We will provide notice of significant changes through the platform, email, or other reasonable means. Your continued use of the platform after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the platform.

Service Modifications

BaaiCore may change, suspend, or discontinue any aspect of the platform at any time, including the availability of any features, database, or content. We may also impose limits on certain features or services without notice or liability. We strive to provide advance notice of significant changes when feasible.

16. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and BaaiCore regarding the platform and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be replaced with a valid provision that most closely approximates the intent of the original provision.

No Waiver

BaaiCore's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without BaaiCore's prior written consent. BaaiCore may assign or transfer these Terms without restriction and without notice to you.
